Oct 22, 2026: an EPS miss and a weak fourth-quarter outlook

Oceaneering released results after the close on Oct 21. The shares fell 4.5% to $42.06 shortly after the release. In premarket trading on Oct 22 they traded as high as $42.52 at about 4:25am and as low as $40.70 at about 7:40am, down 7.7%. They opened at $39.43, down 10.6%, touched $40.39, and fell through the 11:00am call to a low of $34.93 at about 11:25am, down 20.8%. At 11:55am they were $36.38 on about 1.0 million shares.

What pushed it down:

  • Earnings missed. Adjusted EPS was $0.50 against a $0.59 consensus. GAAP net income fell 26% to $52.6 million, partly because of a $19.0 million loss on extinguishing debt when the company refinanced.
  • A weak fourth quarter. Subsea robotics revenue is expected to rise but operating income to fall, "reflecting lower ROV utilization as certain rigs transit from the U.S. Gulf to other regions, a shift in ROV geographic mix, and increased mobilization costs." Offshore projects operating income is also expected to fall on project mix.
  • Modest 2027 growth. Adding the fourth-quarter range to the $317.5 million of adjusted EBITDA earned in the first nine months gives about $403 million to $413 million for 2026. The 2027 range of $430 million to $480 million is about 4% to 19% higher.
  • Cash slows. The company expects full-year free cash flow of $100 million to $120 million. It generated $97.4 million in the first nine months, so the fourth quarter implies little more.

The numbers

MeasureQ3 2026Q3 2025
Revenue$784.6 million$742.9 million
Operating income$92.2 millionabout $86 million
Net income$52.6 million$71.3 million
Adjusted EBITDA$119.4 million$111.1 million
Free cash flow$141.9 million$77.0 million

By segment, subsea robotics revenue rose to $233 million and operating income 16% to $75.4 million, a 39% EBITDA margin. ROV utilization held at 65%. Manufactured products revenue rose 8% but operating income was flat at $25.1 million, and its backlog was $435 million. The aerospace and defense technologies unit grew revenue 7% to $135 million, but operating income fell to $14.7 million, an 11% margin, on pass-through work and program costs. CEO Rod Larson said the company expects "typical seasonality and changes in geographic and project mix in the fourth quarter" and "improved performance in 2027, with EBITDA increasing compared to 2026." Our explainer on EV/EBITDA covers why EBITDA guidance carries so much weight for a company like this. Our explainer on how guidance changes move stocks covers why a weak next quarter can outweigh a higher full-year range on the day.

The bull case

  • Cash. Third-quarter free cash flow was $142 million, and the company held about $735 million of cash, more than its $500 million of notes. Our explainer on free cash flow yield shows how to weigh that.
  • Pricing. ROV revenue per day utilized rose to $11,781, and survey work increased.
  • 2027 still grows. The company expects EBITDA and free cash flow to rise next year, and buybacks to continue.
  • Valuation. At about $3.6 billion of market value, the stock trades near 8 times the 2027 EBITDA midpoint before counting net cash.

The risks

  • The U.S. Gulf. Fewer rigs there means fewer ROV days in the fourth quarter, and the release gives no date for a return.
  • A shrinking backlog. A book-to-bill of 0.77 in manufactured products means orders are not replacing shipped work.
  • Defense margins. The defense unit's margin fell to 11% as pass-through work grew.
  • Estimates may fall. Analysts who had modeled the fourth quarter near the third will likely lower their numbers, and the next report will confirm the weak quarter.

What comes next

  1. Fourth-quarter results, around Feb 17, 2027. EBITDA against $85 million to $95 million, and the detailed 2027 guidance the company promised. Our guide to preparing for an earnings report lists what to line up in advance.
  2. Rig moves. Where the rigs leaving the Gulf go, and whether Oceaneering's ROVs follow them.
  3. Orders. Manufactured products bookings, and whether the backlog stops shrinking.
  4. Buybacks. The company bought back 101,038 shares for about $5 million in the third quarter; a faster pace would signal confidence in the 2027 range.
