Oct 22, 2026: the CFO exit and a sector already under pressure
The stock closed Oct 21 at $31.76, up 5.1% from $30.23 the day before. We could not confirm a premarket price. It opened at $27.18, touched a high of $27.26, and fell to $25.07 by 9:40am on 1.6 million shares in the first five minutes. At 9:45am it was $25.25 on 4.5 million shares, near the $25.05 low of the session so far.
What pushed it down:
- The CFO change. Item 5.02 of the 8-K says Fiedler and the company agreed he would step down on Oct 21 and remain employed through Oct 30. Under a separation agreement dated Oct 21 he receives earned salary and unused vacation pay in place of the severance in his employment agreement. His unvested incentive units stay outstanding and vest under their existing terms. The filing states no disagreement and no reason. Investing.com reported the shares down 11% on the news at the time of its story, while its quote box showed 20.6%.
- A new CFO from inside. Ard is 52. She has been executive vice president of finance since January and was interim CFO of PwrQ, now a Forgent subsidiary, from October 2023 to December 2025. Earlier she was CFO of Tonal Systems and of Proterra. Her expected pay is a $550,000 salary and a bonus of up to 85% of it, plus a one-time grant on Nov 1 worth $500,000. CEO Gary Niederpruem said her operational finance experience "has been invaluable." Our guide to reading an 8-K for catalysts explains why Item 5.02 filings get close attention.
- A weak sector. Vertiv fell for an 11th straight session on Oct 20, its longest losing streak since it began trading in 2018, per Investing.com, which tied it to volatility in AI-linked stocks. We did not find a single headline that explains Thursday's sector move.
From the Oct 21 close, at about 9:45am:
| Stock or fund | Change |
|---|---|
| Forgent Power Solutions (FPS) | -20.5% |
| nVent (NVT) | -8.8% |
| Powell Industries (POWL) | -6.7% |
| GE Vernova (GEV) | -6.6% |
| Eaton (ETN) | -5.4% |
| Vertiv (VRT) | -5.4% |
| Hubbell (HUBB) | -5.1% |
| Quanta Services (PWR) | -4.8% |
| Industrial Select Sector SPDR Fund (XLI) | -1.5% |
| SPDR S&P 500 ETF (SPY) | -1.0% |
The seven peers averaged a 6.1% drop. Forgent's 20.5% leaves about 14 points that the sector does not account for. A new CFO who is already inside the company, with no guidance change attached, does not obviously justify that gap. The abrupt timing and the missing reason are what traders are pricing, and that uncertainty is the main risk until the next filing. After the drop, RSI(14) stood at 29, the shares sat 27% below their 50-day average, and volume by 9:45am was already 0.6 times its 20-day average of 7.8 million shares. The stock was 62% below its 52-week high of $66.00. Forgent has fewer than 200 sessions of trading history, so there is no 200-day average.
What the company reported on Sept 15
Fiedler's last report was a strong one. For the fiscal fourth quarter ended June 30, 2026, revenue rose 94% to $461.7 million, adjusted EBITDA was $112.7 million, a 24.4% margin, and net income was $66.1 million. Bookings were $1.503 billion, 3.3 times revenue, and backlog reached a record $3.0 billion.
Backlog was $1.98 billion at March 31, so it grew 52% in one quarter.
For the full year, revenue was $1,420.1 million, up 89%, and adjusted EBITDA was $322.9 million. Fiscal 2027 guidance is revenue of $2.4 billion to $2.6 billion, adjusted EBITDA of $575 million to $625 million and adjusted EPS of $1.26 to $1.40. JPMorgan analyst Chigusa Katoku said the revenue midpoint sat about 20% above Street estimates. The stock rose 11.1% on Sept 16 and closed at $39.44 on Sept 18. Our explainer on how guidance changes move stocks covers why that outlook matters more than a staffing change.
The bull case
- Nothing in the numbers changed. Neither the 8-K nor the release touches the backlog, bookings or fiscal 2027 outlook.
- Continuity. Ard has led finance since January and helped build the public-company reporting after the IPO, per the press release.
- Valuation. At $25 the forward P/E is 12, price to sales is 5.4, and the average analyst target of about $54.60 is more than double the price. Our guide to forward versus trailing P/E explains why forward multiples carry the weight for a company growing this fast.
- Positioning. Short interest is 7.4% of the float, and the shares have lost 62% from their high.
The risks
- No stated reason. A departure effective the day after the separation agreement, a month after a record report, invites questions that one sentence about family does not answer.
- Capacity to deliver. Guidance implies about 76% revenue growth. The company is adding $35 million of capacity in Tijuana, due online in the fourth quarter of fiscal 2027, and capital spending is expected near $87 million.
- A falling stock and sector. Forgent was down 23% from its Oct 6 close before today, and the group has been selling off for more than two weeks.
- Targets lag the price. Analyst targets may not yet reflect today's drop, and some may be cut. The Sept 30 quarter is the first the new CFO reports, so margins and backlog will be watched closely.
What comes next
- Any new filing. The Form 10-Q for the quarter ending Sept 30 and any 8-K amendment may add detail on the CFO change. See our guide to what to check in an earnings report.
- The first-quarter report. Watch backlog against the $3.0 billion, bookings against revenue, and whether the fiscal 2027 range holds.
- Fiedler's Oct 30 departure and Ard's Nov 1 equity grant. These are scheduled and routine; surprises would matter.
- The sector. If power-equipment peers stabilize, the part of the drop that came from the group should fade first. Short interest of 7.4% is worth tracking; our explainer on short interest and squeeze risk shows how it feeds sharp bounces.
