Oct 26, 2026: a premium paid in shares, and a buyer that fell

EQT and Range announced the deal at 6am and held a joint call at 8am. Range's first trade before the open was $49.50, and it reached $52.78 by 7:10am. It opened at $50.81, dipped to $50.00 in the first minutes, then rose to $53.36 at 10am. At 11:53am it was $52.46 on 11.9 million shares, 4.4 times its 20-day average for a full day.

The terms, from the merger agreement and press release:

  • Price. 0.987 EQT shares per Range share, all stock. EQT holders will own about 73% of the combined company and Range holders about 27%.
  • Timing. Closing is expected in the first quarter of 2027, after both shareholder votes and the end of the Hart-Scott-Rodino waiting period.
  • Protection. In certain cases Range would pay EQT a $423 million termination fee and EQT would pay Range $1.148 billion. Either side can end the deal if it has not closed by Oct 25, 2027, with an automatic extension to April 25, 2028 if only antitrust or court approval is outstanding.
  • Board. Two Range representatives, including chief executive Dennis Degner, will join EQT's board.
  • Calendar. Both companies still report third-quarter results after the close on Oct 27 but canceled their Oct 28 calls.

After the jump, RSI(14) stood at 84, the shares sat 28% above their 50-day average and 31% above their 200-day average, and they were 2% below their new 52-week high of $53.36. Two law firms announced investigations into whether the price is fair, which is common after a merger announcement. More of the day's moves are in today's biggest stock moves.

Why EQT wants Range

Both companies drill in Appalachia. The companies said the combined business would hold more than 30 years of inventory across nearly 3 million net acres and more than 3,700 miles of pipelines, and they expect about $20 billion of cumulative free cash flow over five years at recent strip prices. They target $325 million of base yearly savings within two years, with a path to more than $600 million. The Motley Fool noted that EQT has been signing long-term supply deals tied to power demand from data centers, including a 10-year agreement to supply 325,000 dekatherms a day to a West Virginia power plant.

The case for higher

  • Range shares a bigger company. Holders swap a mid-size producer for 27% of the largest US gas producer, with BBB quality credit metrics expected at closing.
  • EQT's fall may not last. The average analyst target for EQT was $66.25 before the deal, and an acquirer's slide on deal day often reflects arbitrage selling more than a change in value.
  • A large break fee. EQT's $1.148 billion fee makes it costly for EQT to walk away.

The risks

  • Range now rides on EQT. If EQT keeps falling, so does Range, at 0.987 times the move.
  • The deal is long. Closing is months away, and antitrust review and two votes remain. Our guide to tracking a merger through approval and our explainer on the HSR waiting period cover each step.
  • Downside if it breaks. Analysts' average target for Range on its own was $44.44 before the deal. Our note on what happens when a merger fails explains how far targets tend to fall.
  • Gas prices. Both companies sell the same commodity, so a weak winter hits the combined company as it would hit Range alone.
